实体论（theentitytheory）亦称营业个体论、会计个体论。从企业这一独立经营实体出发观察其经济活动，解释权益性质并指导有关经济业务处理的一种权益理论。它强调企业与其所有者的分离，认为企业是一个经营实体，独立于其所有者而存在。这一理论侧重于企业本身的组织结构、企业所有者与债权人之间的关系，以及资本和利润的特征。企业经营用的资本由股东和债权人共同提供，这两组利益集团都是使企业能够持续经营的投资者。于是，资产负债表的等式可表示为：“资产=权益”。资产被视为属于会计个体的经济资财，权益则被视为权益投资者集团的共同权利，分为负债（债权人权益）和所有者权益。会计个体的负债是会计个体本身的义务，而不是权益所有者的义务。债权人和股东的所得、风险、管理、清算时具有不同的权利和义务，但他们事实上是企业权益的共同持有人，会计要为债权人和股东服务。在实体论下，净利润只是表示除了所有其他债权，包括长期负债的利息和所得税后剩余权益的变动数。严格坚持实体论，要求将负债的利息也视为该实体利润的分配，而不是一项费用。提案实体论，企业的主要目标是创造利润，会计工作的侧重点在于确定可供股东分配的利润，以防止侵独债权人的利益。利润表受到重视。实体论产生于19世纪下半叶，这个时期正是公司组织形式的企业雨后春笋般破土而出之时。实体论是对公司组织形式组织起来的企业会计的理论解释。不过，它对非公司组织的企业也是适用的。例如，合伙人提供给合伙企业的资产成了合伙企业的资产，合伙人不再对其提供的某一项具体资产具有要求权。但实体论的法人实体独立于其所有者的观点，更多地体现于公司组织，在公司破产时，未获全部清偿的债权人不能指望从公司股东的个人财产中得以补偿；公司所有权就结构的变动并不导致企业的解散；对既是公司股东又是公司职工的个人所支付的工资列作营业费用（成本）；既要对企业征收法人所得税，又要向股东征收个人所得税，等等。
