国有股股权分置改革股改的全称是“国有股股权分置改革”那么什么是股权分置改革了？什么是股权分置-就是指上市公司的一部分股份上市流通，一部分股份暂不上市流通翻看相关规定，既找不到对国有股流通问题明确的禁止性规定，也没有明确的制度性安排一句话概括，股权分置就是指上市公司的一部分股份上市流通，一部分股份暂不上市流通。股权分置是近两年才出现的新名词，但股权被分置的状况却由来已久。很多老股民都知道，上海证券交易所成立之初，有一些股票是全流通的。打开方正科技(原延中实业)的基本资料，我们可以看到，其总股本是97044.7万股，流通A股也是97044.7万股。然而，由于很多历史原因，由国企股份制改造产生的国有股事实上处于暂不上市流通的状态，其它公开发行前的社会法人股、自然人股等非国有股也被作出暂不流通的安排，这在事实上形成了股权分置的格局。另外，通过配股送股等产生的股份，也根据其原始股份是否可流通划分为非流通股和流通股。截至底，上市公司7149亿股的总股本中，非流通股份达4543亿股，占上市公司总股本的64，非流通股份中又有74是国有股份。股权分置的产生是否有相关法律依据呢？1992年5月的《股份制企业试点办法》规定，“根据投资主体的不同，股权设置有四种形式：国家股、法人股、个人股、外资股”。而1994年7月1日生效的《公司法》，对股份公司就已不再设置国家股、集体股和个人股，而是按股东权益的不同，设置普通股、优先股等。然而，翻看我国证券市场设立之初的相关规定，既找不到对国有股流通问题明确的禁止性规定，也没有明确的制度性安排。股权分置改革与国有股减持不同。减持不等于全流通；获得流通权，也并不意味着一定会减持随着资本市场的发展，解决股权分置问题开始被提上日程。1998年下半年以及2001年，曾先后两次进行过国有股减持的探索性尝试，但由于效果不理想，很快停了下来。此次改革试点启动后，有很多投资者问，流通与减持有什幺不同？对此，法律专家的解释是，减持不等于全流通，减持可以在交易所市场进行，也可以通过其它途径，被减持的股份并不必然获得流通权；而非流通股获得了流通权，也并不意味着一定会减持。什么要改革-股权分置在很多方面制约了资本市场的规范发展和国有资产管理体制的根本性变革正是由于股权分置，使上市公司大股东有“圈钱”的冲动，却不会关心公司股价的表现作为历史遗留的制度性缺陷，股权分置早已成为中国证券市场的一块“心病”。市场各方逐渐认识到，股权分置在很多方面制约了资本市场的规范发展和国有资产管理体制的根本性变革。而且，随着新股发行上市不断积累，其不利影响也日益突出。首先是因股权分置形成非流通股东和流通股东的“利益分置”，即非流通股股东的利益关注点在于资产净值的增减，流通股股东的利益关注点在于二级市场的股价。试举一例，可以对“利益分置”有更清晰的了解：2000年12月，某上市公司以每股46元的价格增发2000万股股票，由于是溢价发行，增发后每股净资产由5.07元增加到6.72元。也就是说，通过增发，该公司大股东不出一文就使自己的资产增值超过30。其后该公司股价一直下跌，大股东却毫发无损。可见，正是由于股权分置，使得上市公司大股东有着“圈钱”的冲动，却不会关心公司股价的表现。上市公司的治理缺乏共同利益基础。三分之二股份不能流通，客观上导致流通股本规模相对较小，股市投机性强，股价波动较大股权分置也扭曲了证券市场的定价机制。股权分置格局下，股票定价除公司基本面因素外，还包括2/3股份暂不上市流通的预期。2/3股份不能上市流通，导致单一上市公司流通股本规模相对较小，股市投机性强，股价波动较大等。
