有限追索权的项目融资有限追索权的项目融资【有限追索权的项目融资】即通常所说的“项目融资”。指贷款人除依靠项目收益作为偿债来源，并得在项目公司的资产上设定担保物权之外，还要求由项目公司以外的其他与项目有利害关系的第三方当事人提供各种担保。这里的第三方当事人包括该项目的主办人、供应方、项目使用方、承包方等。如项目不能完工或经营失败，致使项目本身资产或收益不足清偿债务，贷款人有权向上述包括项目主办人在内的有关担保人追偿，债务担保人仅以各自所提供的担保金额或按有关协议所承担的义务为限对项目债务承担责任。这种项目融资，一般具有如下特点:首先，贷款人向项目公司提供项目所需的大部分资金，通常占65%一75%，其余资金由项目主办人投资或以其他办法解决。其次，项目公司是独立于其主办人之外的一个法律实体，对偿还贷款负直接责任，项目主办人只提供有限的保证或担保。再次，由其他与项目有利害关系的第三方，如供应方、项目使用方等向贷款人提供信用支持。最后，项目的债务不反映在项目主办人的资产负债表上，是属于资产负债表外的融资(off一b公ancesheet finance)。也就是说把一项贷款或为贷款提供的担保视为“商业交易”，作为商业交易来处理，按照西方国家的会计制度，可不把这种贷款或担保交易列人主办人的资产负债表。这样做，一方面可不影响主办人的信用地位，另一方面可避免主办人在其他法律关系上处于违约或违法的情况。这对主办人大为有利，目前国际项目融资一般都采用有限追索权的项目融资的做法。
